Candidate Terms of Use

Version 1.0 · Effective 16 September 2026

Verificient Technologies, Inc.
300 Witherspoon Street, Suite 201, Princeton, New Jersey 08542

In short: an organization has invited you to complete an assessment, interview or training that is monitored by Meritclaw. During the session we verify your identity using your face, and we record your screen, camera and, if enabled, a second camera on your phone, and we monitor the applications running on your computer. The organization that invited you sees this and makes every decision about your application, assessment or training. We do not. Your biometric consent is asked for separately, before the session starts, and you can decline. These terms explain the rest.

1. Who we are and who invited you

1.1 Meritclaw is operated by Verificient Technologies, Inc., 300 Witherspoon Street, Suite 201, Princeton, New Jersey 08542 ("Verificient", "we", "us").

1.2 The organization that sent you the session link ("the Organization") is our customer. It may be a prospective employer, a staffing agency acting for one, or your current employer using Meritclaw for training or certification. The Organization decides what you are asked to do, reviews the results, and makes all decisions about you. We provide the monitoring technology to the Organization and act on its instructions.

1.3 These Terms are between you and Verificient and govern your use of the Meritclaw monitoring application and any Meritclaw web page you use to enroll (together, the "App"). Your relationship with the Organization is governed by whatever applies between you and it, not by these Terms.

2. Accepting these Terms

2.1 By installing or using the App, or clicking to accept, you agree to these Terms and confirm that you have read the Meritclaw Privacy Policy and the Meritclaw Data Retention and Destruction Policy.

2.2 Meritclaw is intended for individuals of legal working age and is not for anyone under 16. By using the App you confirm that you are at least 16 years old. If you are under 16, do not use the App and tell the Organization; if we learn that information has been collected from someone under 16, we destroy it and notify the Organization.

2.3 Accepting these Terms is not the same as consenting to biometric collection. That consent is requested separately (Section 4). You can accept these Terms and still decline biometric consent, in which case you cannot complete a monitored session and should ask the Organization for an alternative (Section 6).

3. What happens during a session

3.1 A session is one monitored assessment, interview or training activity. Before it starts you will be asked to install the App on your computer and, if the Organization has enabled dual-camera monitoring, to connect your phone by scanning a QR code.

3.2 During enrollment and the session, the App does the following, as configured by the Organization:

  • (a) Identity verification. Captures an image of your face at enrollment and compares your face during the session to that image, so that the Organization can confirm the person who enrolled is the person taking the session.
  • (b) Recording. Records your webcam, your screen and, if enabled, your phone camera, for the duration of the session.
  • (c) System monitoring. Observes the operating system, running applications and processes, and connected devices on your computer to detect virtual machines, remote-access tools, screen-sharing software and other tools associated with impersonation or unauthorized assistance. Monitoring runs only while a session is active.
  • (d) Live view and reporting. The Organization may watch the session live and may end it or close an application on your computer. When the session ends the App produces an integrity report for the Organization listing events it detected.

3.3 Monitoring begins only after you have enrolled and been told the session is starting, and stops when the session ends or you exit the App. You can uninstall the App at any time after the session.

4. Your biometric data

4.1 To verify your identity the App captures a live image of your face at each verification checkpoint and, during the session, compares frames from your camera to that image in memory. The sampled frames, and any representation of face geometry derived from them, are not stored; only the result is recorded. Under the laws of some places (for example the Illinois Biometric Information Privacy Act, the Texas Capture or Use of Biometric Identifier Act and the Colorado Privacy Act) the face capture is a biometric identifier. It is collected only for identity verification within the session and is not used for any other purpose, is not sold, leased, traded or otherwise used for profit, and is not disclosed to anyone other than the Organization and the service providers that host our systems.

4.2 Each face capture is kept for the period stated in the Data Retention and Destruction Policy — 30 days by default, and never longer than three months regardless of any setting the Organization chooses — after which it is permanently destroyed. Section 5 of that Policy is our published written retention schedule for biometric information.

4.3 Before any face capture you will be shown a notice stating what is collected, why, how long each category is kept, that we hold your data as processor and the named Organization holds it as controller, that the Organization may retrieve an Integrity Export before the recording expires, and how to withdraw consent, and you will be asked to give your written consent by ticking a separate box. We keep a record of your consent, and of any withdrawal, for three years as the record of your authorization. The Organization is responsible for ensuring that it has a lawful basis to ask for your biometric data and that the notice satisfies the laws that apply to it.

4.4 You may withdraw your consent at any time using the link provided at enrollment and in our emails to you. Withdrawal takes effect from that moment: no new face capture will be taken without asking your consent again, and we notify the Organization. Withdrawal is not retroactive — captures already taken are destroyed on their normal schedule and verification results already recorded stand. The Organization decides what withdrawal means for your application or training.

5. Automated tools and artificial intelligence

5.1 Meritclaw uses automated techniques, including artificial intelligence, to verify identity, detect unauthorized tools and behaviours, generate integrity events, and — where the Organization uses Meritclaw Platform — to compare your résumé to the job description and to score assessment responses.

5.2 These outputs are indicators for a person at the Organization to review. They are not a decision, and they are not a finding that you have done anything wrong. The Organization has agreed with us that a person reviews the evidence before any adverse action is taken based on it.

5.3 If you are in Illinois: the Organization is required to tell you that artificial intelligence may be used in connection with this session and its evaluation. This section is that notice on the Organization's behalf; the Organization may give you further information.

6. If you cannot or do not wish to be monitored

6.1 If you are unable to complete facial verification because of a disability, or object to it on religious grounds, or do not wish to consent for any other reason, contact the Organization. The Organization has agreed to provide an alternative way to complete the assessment, interview or training. The App itself has no way to skip identity verification, so please raise this with the Organization before your session rather than during it.

6.2 If this session is workplace training and you are located somewhere that restricts an employer from conditioning employment on biometric consent, your participation in biometric verification is voluntary and the Organization has agreed not to penalise you for declining.

7. Your data and your rights

7.1 The Organization is the controller of the personal data collected about you through Meritclaw. We process it only on the Organization's instructions and only for the purposes in Section 3. How long each type of data is kept, and when it is deleted, is set out in the Data Retention and Destruction Policy; the Organization may choose a longer period within the limits stated there.

7.2 To exercise any right you have over your data — to see it, correct it, delete it or obtain a copy — contact the Organization. It can act on your request in Meritclaw directly and immediately. If you write to us instead, we will tell you which Organization to approach and will assist it in responding; we do not promise a response time to you. Where state law gives you a right to appeal a refused request, the appeal goes to the Organization.

7.3 The Organization may receive an export of session evidence before our copy expires. Once delivered, that export is held by the Organization under its own policies, and requests about it go to the Organization.

7.4 We do not use your recordings, face captures, transcripts or responses to train, fine-tune or evaluate AI or machine-learning models. We may use de-identified technical signatures of tools and techniques detected during sessions, and anonymized session statistics, to maintain our detection capability; neither identifies you.

8. Your responsibilities

8.1 You agree that during a session you will: be the person you claim to be, and not assist anyone else to impersonate another person; not use any virtual machine, remote-access tool or screen-sharing software except as the Organization permits; not use any device, filter, overlay, audio relay, artificial-intelligence assistant or other means to misrepresent your identity or obtain unauthorized help; not interfere with, disable, reverse-engineer or attempt to circumvent the App or its monitoring; and not record, copy, share or publish assessment or interview content.

8.2 You are responsible for having a computer, camera, microphone, phone (if required) and internet connection that meet the published requirements at meritclaw.com/requirements, and for a suitable environment for the session. Contact the Organization if you have concerns about meeting these requirements.

8.3 Your content. You keep ownership of your answers, code, written and spoken responses and other submissions. You grant the Organization and Verificient a licence to process them for the purposes described in the Privacy Policy. Assessment questions, interview prompts and other materials belong to the Organization or Verificient and may not be copied, recorded or shared.

9. Flags, results and disputes

9.1 An integrity event, flag, score or result is information for the Organization; it is not our determination about you. We do not decide the outcome of your application, assessment or training and cannot change a decision the Organization has made.

9.2 If you disagree with an outcome, or believe the App recorded something incorrectly, raise it with the Organization. At the Organization's request we will provide it with the session evidence we still hold at that time.

10. Availability and liability

10.1 We try to keep the App working reliably, but we do not promise that it will be available at any particular time, that it will work on every device or network, or that a session will be free of interruption. If something goes wrong during a session, tell the Organization; whether you may retake the session is the Organization's decision.

10.2 The App is provided "as is". To the fullest extent permitted by law we exclude all warranties and, other than for death, personal injury or fraud caused by our negligence, or liability that cannot be excluded by law, we are not liable to you for any loss arising from the App or a session, including loss of an opportunity, employment or certification. Nothing in these Terms limits any right you have under data-protection or biometric-privacy law.

11. Changes to these Terms

11.1 We may update these Terms from time to time. The version in force is the one shown to you when you enroll for a session, and the date at the top identifies it. A change does not apply retroactively to a session you have already completed.

12. Governing law

12.1 These Terms are governed by the laws of the State of Delaware, and any dispute between you and us about them will be brought in the courts located in Delaware, except that you may rely on any mandatory consumer, employment or data-protection protection of the place where you live. Nothing in these Terms asks you to waive any right you have under employment law.
